We need to issue further equity shares to current investors for Private Limited Company. Do we need a valuation report?

Yes. As per Companies Act 2013, a Valuation report is needed to determine the price of such shares. This valuation needs to be conducted by Registered Valuer registered with IBBI. 

We are accepting equity funds from overseas investor in Private Limited Company. Do we need a Valuation report?

Yes. You need to obtain valuation report for investment from foreign investors. Such valuation report needs to submitted to Reserve Bank of India (RBI) through Authorised dealer (AD) along with FC-GPR. 

We are starting up a new venture for a new product. Do we need to form a Private Limited Company?

You may start a new venture for a new product as a sole proprietor or partnership firm. A private limited company provides more advantages of corporate structure with separation of shareholders / investors from the management. A private limited company will have an existence separate from the promoters. A limited liability partnership is another alternate with corporate like existence.

Is Limited Liability Partnership better than Private Limited Companies for startup??

Can we convert our venture (partnership) into private limited company?

Yes, It is possible to convert an existing registered partnership into a Private Limited Company. The conditions laid down by the Companies Act 2013 need to be followed in the procedure of conversion.

Can the directors be remunerated based on sales achievement?

Managerial remuneration for a Public Company has a maximum cap defined in the Companies Act. 2013. A whole time director's remuneration can be within the specified limits determined based on profits of the Company. Such conditions do not apply to a Private Company
